Terms of Service

These terms explain what you get when you subscribe to the One-Person AI Company Pack from XyneX, how billing, cancellation and refunds work, and what you may do with the files. In short: US$9.99 per month plus any applicable tax, renewing monthly until you cancel; you can cancel online at any time; and first-time subscribers can get a full refund within 7 days of their first payment.

1. Introduction and acceptance

Welcome to XyneX. XyneX is the business name of Chenghan Ge, an individual (sole proprietor) based in New York, USA, operating under the laws of the State of New York and the United States ("XyneX", "we", "us", "our").

These Terms of Service ("Terms") govern your purchase and use of the One-Person AI Company Pack (the "Pack") and our website at https://xynex.sekai.center (together, the "Service").

By subscribing to the Pack or otherwise using the Service, you confirm that you:

1. are at least 18 years old;
2. have read, understood and agree to these Terms;
3. have read our Privacy Policy at https://xynex.sekai.center/privacy and our Refund Policy at https://xynex.sekai.center/refunds; and
4. are allowed to enter into this agreement for yourself or for the organization you represent.

If you do not agree to these Terms, please do not subscribe to or use the Pack.

2. The product

2.1 What we provide

The Pack is a digital template pack: 51 plain files (Markdown, CSV and JSON) in English and Simplified Chinese, delivered as one zip file of about 50 KB. It contains:

• a company template folder: a workspace guide, 5 role definitions, a ranked idea board, brief and status templates, a decision log, a glossary, a weekly report, a metrics sheet and approval gates;
• 6 checklists;
• 7 prompts; and
• 3 filled examples.

You use the Pack with your own AI tools, such as Claude Code, Codex or Cursor.

2.2 What the Pack is not

The Pack is a set of templates. It is not software, not a hosted service, and not legal, tax, financial or other professional advice. It does not include access to any AI tool or AI model: you need your own access to the tools you choose, under their own terms. We do not run any AI on your data. XyneX is not affiliated with the makers of those tools; their names are used only to describe what the Pack works with.

2.3 Delivery

The Pack is a digital, intangible product. After your payment is confirmed, Waffo Pancake sends you an order confirmation, and we email your download link to the address you used at checkout within 24 hours. While your subscription is active, we email you each new version of the Pack when we release it. We do not promise a fixed release schedule.

If your download link has not arrived within 24 hours, please check your junk folder and then email us at byouka2024@gmail.com. Because the Pack is delivered digitally, refunds follow Section 7 and our Refund Policy.

3. Purchases, email and portal access

3.1 No account on our website

You do not create an account on our website. You subscribe through the Waffo Pancake checkout using your email address (your "purchase email"). We send your download links and new versions to that address, and it is also how you sign in to the Waffo Pancake customer portal, which emails a one-time sign-in link (a "magic link") to it. Please give accurate and complete information at checkout.

3.2 Keeping your access safe

Anyone who can read your purchase email can open the customer portal and receive your download links. You are responsible for keeping that email account safe and for what is done with it.

• Do not share your portal sign-in links or download links with anyone outside your organization.
• Tell us promptly at byouka2024@gmail.com if you think someone else has used your purchase email, portal access or download links.
• Keep your purchase email up to date. If it changes, let us know so we can keep sending your files.

3.3 Buying for an organization

If you subscribe on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it.

4. Subscription plan

We offer one plan:

There is no free trial and no credit system. The current plan and price are always shown on our pricing page at https://xynex.sekai.center/pricing before you reach checkout.

We may change the contents of the Pack in new versions, or add new plans. If we change the price of your subscription, we will email you at least 14 days before the new price applies, and it will apply only from your first renewal after that notice period. You can cancel before then if you do not want to continue.

5. Billing and payment

5.1 Recurring billing authorization

By subscribing, you expressly authorize us, through our payment processor Waffo Pancake, to charge your chosen payment method US$9.99 plus any applicable tax when you subscribe and again at the start of each monthly billing period. This authorization stays in effect until you cancel as described in Section 6.

Your subscription renews automatically each month unless you cancel before the renewal date. You can see your next billing date in the Waffo Pancake customer portal.

5.2 Payment processor and merchant of record

Payments are handled by Waffo Pancake, which acts as our merchant of record and is our PCI-DSS payment processor. Your card and other payment details are processed by Waffo Pancake; we never see or store your full card number. Waffo Pancake also provides your invoices and receipts.

Charges may appear on your card or bank statement as "XyneX", possibly with a Waffo Pancake reference.

5.3 Taxes

Prices are shown without tax. Where tax applies (for example sales tax, VAT or GST), it is calculated and added at checkout and collected by Waffo Pancake as merchant of record. You see the total before you confirm payment.

6. Cancellation

6.1 How to cancel

You can cancel at any time, in either of these ways:

• Online (recommended): go to the Waffo Pancake customer portal at https://pancake.waffo.ai/consumer/portal/login, enter your purchase email, open the sign-in link sent to that address, find your XyneX subscription and choose Cancel. The portal may ask why you are leaving; answering is optional.
• By email: send a cancellation request to byouka2024@gmail.com, ideally from your purchase email, and we will cancel it for you.

Cancellation takes effect immediately for all future renewals. We send a confirmation email within 1 business day. If a renewal is charged after you sent us a cancellation request, we refund that charge in full.

6.2 What happens after you cancel

• Your subscription stays active until the end of the billing period you have already paid for.
• You will not be charged again.
• You keep the files you have already downloaded and may keep using them as described in Section 9.
• After your paid period ends, we stop sending new versions.
• We keep your order records while your subscription is active and for 24 months after it ends, then delete them, as described in our Privacy Policy.

Cancelling stops future charges. It does not by itself refund the current period; see Section 7 for refunds.

7. Refunds

Our full Refund Policy is at https://xynex.sekai.center/refunds. If this section and the Refund Policy ever differ, the one more favorable to you applies.

7.1 General policy

Because the Pack is delivered digitally and you keep the files, payments are refunded in the cases listed in Section 7.2. Outside those cases, payments for billing periods that have already started are not refunded, but you can cancel at any time to stop future charges.

7.2 When you can get a refund

• First payment: first-time subscribers get a full refund if they ask within 7 days of their first payment.
• Renewals: a full refund of a renewal charge if you ask within 48 hours of that renewal.
• Duplicate or mistaken charges: always refunded in full, including a renewal charged after you asked to cancel.
• If we end your subscription for a reason other than your breach of these Terms: a pro-rated refund for the unused prepaid part of your current billing period.
• Files not delivered: if we cannot deliver your download link and cannot fix it after you contact us, a full refund of that payment.
• Your legal rights: if the law where you live gives you further rights to cancel or get a refund (for example, a withdrawal right for consumers in the EU or UK), those rights still apply.

7.3 How to request a refund

Email byouka2024@gmail.com with your purchase email and, if you have it, the order ID from your Waffo Pancake order confirmation. You do not need to give a reason. We reply within 2 business days. Approved refunds are issued through Waffo Pancake to your original payment method within 5 business days of approval; how soon the money appears depends on your bank or card issuer.

When we refund a subscription payment, we also cancel that subscription so you are not charged again. You may keep using the files you have already downloaded.

7.4 What is not refunded

• A first payment more than 7 days old, or a renewal more than 48 hours old, unless it was a duplicate or mistaken charge.
• Payments for a subscription we end because you breached these Terms (for example, by reselling the Pack). Duplicate or mistaken charges and your legal rights are not affected.

8. Billing questions and disputes

If you think a charge is wrong, or you do not recognize it, please email us at byouka2024@gmail.com before disputing it with your bank or card issuer. Charges may appear as "XyneX", possibly with a Waffo Pancake reference. We reply within 2 business days and correct confirmed billing errors, including issuing any refund due, within 5 business days of confirming them. This does not limit any right you have to dispute a charge with your bank.

9. License and ownership

9.1 What you may do

When you subscribe, we give you a non-exclusive, non-transferable license to:

• use the Pack for your own company and for client projects;
• edit, translate and adapt the files; and
• keep using the versions you have received, including after you cancel, after a refund, and after we release a new version.

9.2 What you may not do

You may not resell, sublicense or give away the Pack itself, or a lightly edited copy of it, as a template product, whether paid or free. This includes posting the files or your download links publicly.

9.3 Our rights

The Pack is licensed to you, not sold. Apart from the license in this section, we keep all rights in the Pack.

9.4 What you create is yours

You own what you create with the Pack: the briefs, notes, plans, reports and other work you write using the templates, and the output your own AI tools produce from them (subject to those tools' own terms). We do not receive, see, process or store anything you put into the templates or into your AI tools. We do not run any AI on your data and never use your content to train AI models.

9.5 Output from your AI tools

Content your AI tools produce while using the Pack may be inaccurate, incomplete or out of date. You are responsible for reviewing and checking it before you rely on it or share it.

10. Acceptable use

10.1 Permitted use

You may use the Pack and the Service for any lawful purpose consistent with these Terms.

10.2 Uses that are not permitted

You agree not to use the Pack or the Service to:

• break any law or regulation, card network or payment provider rule, or the terms of the AI tools you use;
• create or spread content that is unlawful, defamatory, harassing or fraudulent, or that sexualizes minors;
• impersonate real people, or create fake reviews, deepfakes or other content meant to mislead people about who made it or where it came from;
• build software or messages designed to damage computer systems, take data without permission, or trick people into giving away passwords or payment details;
• infringe anyone's intellectual property or privacy rights;
• present output from your AI tools as the work of a licensed professional (such as a doctor, lawyer or financial adviser) where that could mislead or harm people;
• resell, sublicense or give away the Pack, or a lightly edited copy, as described in Section 9.2; or
• pay with a payment method you are not authorized to use.

11. Data, privacy and payment details

Our Privacy Policy at https://xynex.sekai.center/privacy explains what personal information we collect and how we use, store and share it. In short: our website has no accounts and sets no cookies; payment card data is processed only by our PCI-DSS payment processor, Waffo Pancake, and is never stored by us; and we keep order and subscription records while your subscription is active and for 24 months after it ends, then delete them.

12. Disclaimers and limitation of liability

12.1 Disclaimer of warranties

To the extent the law allows, the Pack and the Service are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy. We do not promise that using the Pack will produce any particular business result.

12.2 Not professional advice

The Pack contains templates, checklists and prompts. It is not legal, tax, financial, medical or other professional advice. Output your AI tools produce may be inaccurate, incomplete or out of date. Check important decisions with a qualified professional before acting on them.

12.3 Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, consequential, special or punitive damages, or for lost profits or lost data. Our total liability for any claim relating to the Service is limited to the amount you paid for your subscription in the 12 months before the event giving rise to the claim.

12.4 Your legal rights

Nothing in these Terms limits or excludes any liability or consumer right that cannot be limited or excluded under the law that applies to you.

13. Suspension and termination

These Terms apply while you have a subscription or use the Pack.

13.1 Ending by you

You can end your subscription at any time by cancelling as described in Section 6. To ask us to delete your personal information, see our Privacy Policy.

13.2 Suspension or termination by us

We may suspend your subscription (pause new versions and download links) or end it if:

• you materially breach these Terms, for example by reselling the Pack;
• we reasonably suspect a fraudulent or unauthorized payment; or
• the law requires us to.

Where reasonable, we will email you first, explain why, and give you a chance to fix the problem.

13.3 Refund if we end your subscription

If we end your subscription for a reason other than your breach of these Terms, we give you a pro-rated refund for the unused prepaid part of your current billing period.

13.4 After your subscription ends

You may keep using the files you already have as allowed in Section 9.1. Sections 9, 10, 12 and 14 continue to apply after your subscription ends.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules.

If you have a concern or dispute, please email us first at byouka2024@gmail.com so we can try to resolve it informally. We reply within 2 business days and will work with you in good faith.

There is no mandatory arbitration. Any dispute we cannot resolve informally will be decided by the courts located in New York County, New York, USA. If you are a consumer, you keep the protections of the mandatory laws of the country or state where you live, including any right to bring a claim in your local courts.

15. Changes and general terms

15.1 Changes to these Terms

We may update these Terms. For material changes, we will email active subscribers at least 14 days before the changes take effect and update the version and dates at the top of this page. If you do not agree, you can cancel before the effective date (Section 6). If you keep your subscription after that date, the updated Terms apply. Minor changes that do not reduce your rights, such as corrections or clearer wording, take effect when posted.

15.2 Whole agreement

These Terms, our Privacy Policy and our Refund Policy are the whole agreement between you and us about the Service.

15.3 If part of these Terms cannot be enforced

If any part of these Terms is found unenforceable, the rest stays in effect.

15.4 No waiver

If we do not enforce a part of these Terms straight away, we can still enforce it later.
